Augurium ConciergeTerms of Service

These Terms of Service ("Terms") govern your access to and use of the Augurium Concierge platform and any related mobile or web applications (the "Service") operated by Augurium, Inc. ("Augurium," "we," "us," or "our"). The Service is made available to your residential building (the "Building") under a separate Customer Agreement between Augurium and the Building (or its managing agent or board), referred to here as the "Customer Agreement."

By logging in, creating an account, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Authorization

You may use the Service only if you are at least eighteen (18) years old and have been authorized by the Building or its managing agent to access the Service. Authorization may be granted to you as a resident of the Building, a member of the Building's board, an employee of the Building's managing agent, a member of the Building's front desk or maintenance staff, or an authorized vendor or contractor. Augurium may rely on the Building's designation of authorized users and is not responsible for verifying your relationship to the Building. Augurium may refuse, suspend, or terminate your access at any time, including at the request of the Building.

2. Accounts and Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to (a) provide accurate and complete information when registering, (b) keep your contact information current, (c) not share your credentials with anyone else, and (d) notify Augurium and your Building promptly if you suspect that your credentials have been compromised. Augurium is not liable for any loss or damage arising from your failure to safeguard your credentials.

3. Permitted Use

The Service is intended for the day-to-day operations of the Building, including package tracking, visitor management, communications from the Building to residents, and similar functions. The Service does not provide any messaging, chat, forum, or other direct communication channel between users. The Service may display contact information for Building staff or management (such as the superintendent or property manager) so that you can contact them yourself; any message you send using that contact information is sent through your own email or messaging program, outside the Service. You agree to use the Service only for these purposes and only in compliance with the Customer Agreement, these Terms, applicable law, and any rules established by the Building. You will not (a) attempt to access any account or data that does not belong to you, (b) interfere with or disrupt the Service or the systems on which it runs, (c) attempt to reverse engineer, decompile, or extract source code from the Service, (d) upload malicious code or content, (e) submit content (for example, in a maintenance request, profile field, or other text input) that is unlawful, threatening, abusive, harassing, defamatory, or that infringes the rights of any third party, (f) use any automated means to scrape, copy, or extract data from the Service (including extracting contact information for purposes other than contacting Building staff or management about Building matters), or (g) use the Service in a way that violates any law or the rights of any third party.

4. Content in the Service

The Service stores two kinds of content about you, and they are treated differently.

"Your Submissions" means content you actively submit to the Service through your own actions — for example, your profile and contact information, your notification preferences, and the text of any maintenance request you submit. You retain whatever rights you have in Your Submissions. By submitting them, you grant Augurium and your Building a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, and otherwise use Your Submissions as necessary to operate the Service for the Building and to comply with law. You represent that you have the right to submit Your Submissions and that doing so does not violate any law or the rights of any third party.

"Building Records" means content captured or created by the Building's staff using the Service in the course of front desk operations — for example, photographs of packages addressed to you, photographs and signatures captured from you or your visitors at the front desk, staff notes about deliveries or visits, and operational notes recorded against your unit. You acknowledge that the Building uses the Service in this way and that Building Records are created and held by the Building. As between you and Augurium, Building Records are governed by the agreement between Augurium and the Building, not by these Terms. Augurium handles Building Records on the Building's behalf and discloses them to the Building, its staff, and its managing agent in the ordinary course of operating the Service.

Augurium may, but is not required to, remove or refuse to display any content that we believe violates these Terms or any applicable law.

5. Privacy

Your use of the Service is also governed by our Privacy Policy. The Privacy Policy describes what information we collect, how we use it, and the choices available to you. The Service captures information related to Building operations, including photographs and signatures recorded at the front desk. By using the Service, you consent to the collection and use of this information for Building operations and as described in the Privacy Policy.

6. Notifications

The Service may send you notifications by email, push notification, or SMS about packages, visitors, building announcements, and account activity. You can adjust your notification preferences in your account settings, except for transactional and security messages, which you cannot opt out of while you have an active account. Standard message and data rates may apply to SMS notifications.

6.1 SMS / Text Message Terms

If you opt in to SMS notifications, the following additional terms apply:

7. Suspension and Termination

Augurium or your Building may suspend or terminate your access to the Service at any time, with or without notice, including (a) at the request of the Building, (b) if you violate these Terms, (c) if your authorization to use the Service ends (for example, because you are no longer a resident, employee, or contractor of the Building), or (d) if the Customer Agreement between Augurium and the Building ends. You may stop using the Service at any time. After your access ends, your account and Your Submissions may be retained, deleted, or transferred to the Building in accordance with the Customer Agreement and our Privacy Policy. Building Records remain with the Building.

8. Third-Party Services

The Service may link to or integrate with third-party services, including email, SMS, mapping, identity verification, or notification providers. Augurium does not control these services and is not responsible for their availability, accuracy, content, or practices. Your use of any third-party service is at your own risk and may be subject to that provider's separate terms.

9. Modifications to the Service

Augurium may, at any time and without liability to you, modify, suspend, or discontinue any part of the Service, add or remove features, or change supported devices or browsers. We will use commercially reasonable efforts to provide notice of changes that materially reduce the functionality available to you.

10. Disclaimer

The Service is provided "as is" and "as available." Augurium makes no representation or warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability. Augurium does not guarantee that the Service will be uninterrupted, error-free, secure, or available at all times, that any data within the Service will be accurate or complete, or that errors will be corrected. Decisions about packages, visitors, building access, and other building operations are made by the Building and its staff, not by Augurium.

11. Limitation of Liability

To the fullest extent permitted by law, Augurium and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, or goodwill, arising out of or relating to your use of or inability to use the Service, even if Augurium has been advised of the possibility of such damages. Augurium's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed one hundred U.S. dollars ($100). Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

You agree to defend, indemnify, and hold Augurium and its officers, directors, employees, and agents harmless from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of or relating to (a) Your Submissions, (b) your use of the Service, (c) your violation of these Terms, or (d) your violation of any law or the rights of any third party.

13. Changes to These Terms

Augurium may update these Terms from time to time. If we make a material change, we will use commercially reasonable efforts to notify you, for example by posting the updated Terms in the Service or sending an email. Your continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts. To the extent permitted by law, any claim must be brought within one (1) year after the claim arose; otherwise it is permanently barred.

15. General

These Terms, together with the Privacy Policy, are the entire agreement between you and Augurium with respect to the Service and supersede any prior agreements between you and Augurium with respect to the Service. If any provision is held invalid or unenforceable, the remainder will continue in effect. Augurium's failure to enforce any provision is not a waiver of that provision. You may not assign or transfer these Terms without Augurium's prior written consent. Augurium may assign these Terms without restriction. There are no third-party beneficiaries to these Terms.
